Do You Need a Lawyer for a Form U5?
When a Form U5 usually calls for a lawyer, what a U5 attorney actually does (review, amendment requests, FINRA arbitration for damages or expungement, separation agreements), how to find one, what to bring to the first call, whether you can go without one, and the deadlines that apply.

The short answer: It depends on what the U5 says. If the reason is Voluntary and there are no disclosures, the form itself rarely needs a lawyer. Counsel is worth a call when the firm marks the termination Discharged, Permitted to Resign or Other, answers yes to the allegations question (7F), or writes something you believe is inaccurate. A lawyer who handles securities employment matters can review the wording, ask the firm to amend it, and bring a claim in FINRA arbitration, where disputes between firms and their registered people generally go. This is general information; legal advice on your own U5 comes from counsel.
| Situation on the U5 | Does it usually call for counsel? | What counsel typically does |
|---|---|---|
| Voluntary, with no disclosure question answered yes | Less often | Little on the form itself; a read of any separation agreement before you sign |
| A separation agreement is offered before the U5 is filed | Yes, before signing | Reads the release of claims and raises the intended U5 wording while the firm is still within its 30-day filing window |
| Discharged, Permitted to Resign or Other, with an explanation you accept as accurate | Often worth one consultation | Checks the explanation and helps you prepare to discuss it with the next firm, which reviews the most recent U5 if it is a FINRA member |
| Discharged, Permitted to Resign or Other, with wording you believe is inaccurate | Yes | Asks the firm to amend; weighs a FINRA arbitration claim for damages or expungement |
| Yes to Question 7F (a separation after certain allegations), including after a Voluntary resignation | Yes | Reviews the allegations as reported, since this answer appears on BrokerCheck |
| Yes to Question 7B (an internal review) | Usually | Reviews the internal review as reported, and the brief summary the form allows, which FINRA notes a departed advisor may not be in a position to submit |
| An older U5 you still dispute | Yes, soon | Checks FINRA's six-year eligibility limit and any statute of limitations that applies |
When should a financial advisor hire a U5 lawyer?
Advisors generally call one when the U5's own answers call for it: Discharged, Permitted to Resign or Other, a yes to Question 7F, wording you believe is inaccurate, or a separation agreement waiting to be signed. Section 3 of Form U5 gives five reasons for a full termination: Voluntary, Deceased, Permitted to Resign, Discharged and Other. For the last three, the firm must write an explanation. Section 7 asks six disclosure questions, 7A through 7F, covering investigations, internal reviews, criminal and regulatory matters, customer complaints and terminations after allegations. Our guide to what "Discharged" means on a Form U5 walks through each reason.
The public and the next firm see different parts of the form. Under FINRA Rule 8312, BrokerCheck never releases the Section 3 reason or the internal review answer. The other Section 7 answers are released three business days after FINRA processes the filing. Every FINRA member firm that later registers you must review your most recent Form U5, amendments included, within 60 days of filing your application, or show FINRA it made reasonable efforts to do so, under Rule 3110(e).
Timing matters most. Under FINRA's By-Laws, the firm must file the U5 no later than 30 days after the termination and give you a copy at the same time. A call to counsel inside that window, or before signing any separation agreement, is when it does the most good.
What does a Form U5 lawyer actually do?
A Form U5 lawyer does four things, depending on the facts: reviews the wording, asks the firm to amend it, brings a claim in FINRA arbitration, and reads any separation agreement.
- Reviews the wording. FINRA Rule 1122 prohibits filing registration information that is incomplete or inaccurate so as to be misleading. Regulatory Notice 10-39 says a firm must give enough detail for a reasonable person to understand the circumstances, and may not parse the questions to avoid a yes the facts require. Counsel measures the U5 against those standards and against what happened.
- Asks the firm to amend. A firm must amend the U5 within 30 days of learning facts that make it inaccurate or incomplete, give you a copy, and explain the basis for any change to the reason or explanation.
- Brings a claim in FINRA arbitration. Panels hear claims for damages over U5 statements, often framed as defamation, and requests to expunge termination information. FINRA removes that information from the Central Registration Depository without a court order when the award states explicitly that expungement is based on the defamatory nature of the information; otherwise a court must first confirm the award. What a defamation claim can do depends on the governing state's law, which our Form U5 guide for terminated advisors covers.
- Reads the separation agreement. Many employers offer money or benefits in exchange for a release of claims connected with the employment, as the EEOC describes. Counsel reads that release before you sign it.
FINRA's forum also offers mediation, which is voluntary for every party.
How do you find a Form U5 attorney?
Start with a lawyer referral service. Many state and local bar associations run one, and the American Bar Association's Lawyer Referral Directory lists them by city and state. FINRA's dispute resolution staff cannot recommend a specific lawyer.
Look for a practice in securities employment matters that represents registered individuals in FINRA arbitration. Before engaging anyone, ask:
- How many FINRA arbitrations between firms and registered individuals have you handled, and on which side?
- Have you sought amendment or expungement of Form U5 termination information?
- How do you bill, and what will the first review of my U5 involve?
- Do you have any conflict with my former firm?
- Who will do the work day to day?
What should you bring to a first call with a U5 lawyer?
Bring the U5 and any amendments, your BrokerCheck report, your agreements, the written record and a dated timeline.
- The U5 as filed, with any amendments. The firm must give you a copy, and FINRA's FinPro Gateway lets you view your Form U4 and U5 filing history and download the latest filings.
- Your BrokerCheck report. It is free from FINRA.
- Your agreements: employment, separation, any recruiting loan notes and deferred compensation plan documents.
- Written communications about the allegations or the termination.
- A dated timeline of what happened, with names, written while it is fresh.
- Two dates: the termination date and the date you received the U5 copy.
Our guide to the first 72 hours after a termination sets out what to do around that first call, in order.
Can you handle a U5 dispute without a lawyer?
FINRA's rules allow it in arbitration. FINRA Rule 13208 says parties may represent themselves in an arbitration held at a United States hearing location, and may be represented by an attorney in good standing at any stage. FINRA does not require individuals to hire attorneys, though its own guidance suggests considering one and notes that the firm will likely have one.
An associated person who files a claim submits a statement of claim, a submission agreement and a filing fee set by the schedule in FINRA Rule 13900, which FINRA may defer on a showing of financial hardship. Without a claim, you can still add context to the record: FINRA's Regulatory Notice 26-06 notes that an associated person can give a brief summary of a disclosure reported on Form U4, that a person no longer registered with the firm filing the U5 may not be in a position to add one there, and that someone no longer registered whose BrokerCheck report is still available can request a Broker Comment. Form U4 vs Form U5 explains how the two forms connect.
How long do you have to challenge a Form U5?
Under FINRA Rule 13206, a claim is not eligible for arbitration once six years have passed from the event that gave rise to it. The rule does not extend any statute of limitations, so the deadline that governs a given claim may come sooner, and counsel will advise on it. Filing in arbitration tolls court filing deadlines while FINRA retains jurisdiction. The firm's own clock is shorter: 30 days to amend after it learns the U5 is inaccurate or incomplete.
FINRA is also reviewing this area. Its March 2026 Regulatory Notice 26-06 asked whether arbitrators should have to find that a statement was a false statement of fact made in bad faith and with malice before awarding damages for U5 defamation, and whether to keep its expungement standard for termination information.
